King’s Bay Gold Corporation (TSX.V: KBG) is an active mineral resource company, which is engaged in the acquisition of interests in, and the exploration of, mineral resource properties in North West Ontario. The Corporation’s mandate is to acquire, evaluate and bring significant gold and other precious metal properties to the development stage. During the last 13 years, the Corporation has been assembling a portfolio of precious metal exploration prospects most notably in the Red Lake gold camp, the majority of which are located in close proximity of present and past producing mines. Certain of these properties exhibit high-grade gold values, rare earths, rare metals and other industrially useful minerals and metals.
The Corporation’s goal will always be growth. Strengthening the Corporation’s management team and Board of Directors, and by acquiring significantly advanced exploration projects may provide shareholders with an opportunity to increase the value of their investments over the long term.
The Corporation’s shorter-term goals are to advance its projects to the feasibility stage, with the intent of becoming a small to medium tier minerals producer. The quality of the Corporation’s projects, an aggressive acquisitions strategy based on acquiring properties near present and past producers, and the proven background of the management team will allow the Corporation to become an emerging leader in the Canadian mining industry.
King’s Bay Gold Corporation is a Winnipeg-based company that was incorporated pursuant to the Canada Business Corporations Act (“CBCA”) on March 20th, 1998. The Corporation became a publicly traded entity on the TSX Venture Exchange in April 2002 (TSX.V symbol: KBG). Since then, the Corporation has completed several prospective offerings and private placement offerings with the net capital raised being used to complete the exploration and development programs for the properties where it has land option and joint venture agreements.
James Rogers P.Geo., CIM – Director, Chairman of the Board, Audit Committee (independent member), Compensation Committee (independent member)
Mr. Rogers is a registered Professional Geoscientist (Ontario) with over 30 years’ experience in the Canadian mining industry. James is President and CEO of Mega Precious Metals Inc. (TSX.V: MGP) and was most recently the Regional Exploration Manager for Goldcorp Inc. (TSX: G) in the Red Lake Camp. He was awarded the CIM Professional Proficiency metal in 1988 when he was Chief Mine Geologist at Dickenson Mine, predecessor to the current Red Lake Gold Mines. The first exploration drill holes into what ultimately became Goldcorp’s High Grade Gold Zone were drilled on James’s watch. While at Eskay Creek Mine as Chief Geologist, James was part of the team that received the E.A. Schultz Award for Mine Development.
Kyle Picard – Director, President & CEO (interim appointment), Corporate Secretary, Audit Committee (non-independent member), Compensation Committee (non-independent member)
Mr. Picard is a founding shareholder of both Kings Bay Gold Corporation (TSX.V: KBG) and Palomino Mining & Exploration Ltd. (a private company involved in the Headway property with King’s Bay Gold Corporation and Mega Precious Metals Inc.). He is a current and founding director of both Mainstream Minerals Corporation (TSX.V: MJO) and Accolade Resources Corporation (a private company). All four of these companies are involved in the mineral exploration industry and are based in Winnipeg, Manitoba. As a corporate leader, Mr. Picard draws extensively on the mineral exploration and public companies experience he has gained over the years by holding a variety of positions within these various companies. These varied positions include Director, President & CEO, Corporate Secretary, and as a Member or as the Chair of the Audit and Compensation Committees. As an enthusiastic rock-hound, Mr. Picard continues to take an active part in mineral property development and exploration field work. He is also a Director with the Saint-Boniface General Hospital Auxiliary Inc.
Ray Prefontaine B.A., B.Comm. (Hons.) – Chief Financial Officer
Mr. Préfontaine is a senior management professional with over 20 years of experience in managerial and directorship roles in the banking, brokerage, accounting and natural resources industries. Ray is presently the Chief Financial Officer of Mainstream Minerals Corporation (TSX.V: MJO) and a Director of Accolade Resources Corporation (a private company based in Winnipeg, MB). He is currently the Chairman and a Director of the Saint-Boniface General Hospital Auxiliary Inc., a non-profit organization that manages all of the Hospital’s commercial enterprises. Ray is a graduate of the University of Manitoba with a Bachelor of Arts degree in Economics and a Bachelor of Commerce (Hons.) degree in Marketing. He has completed various securities industry courses as provided by the Canadian Securities Institute and the Investment Funds Institute of Canada. During his university years, Ray served his country as a commissioned naval officer and as a ship’s navigator in the Maritime surface programme of the Canadian Armed Forces Reserve.
Rick Jabs – Director, Audit Committee (Chairman, independent member), Compensation Commmittee (Chairman, independent member)
Mr. Jabs has been a director of King’s Bay Gold Corporation since June 1998. Rick is presently a general contractor in the construction industry. He is the Chairman and an independent member of each of the Corporation’s Audit and Compensation Committees.
Steve Filopovic B.Comm. (Hons.), CA – Director
Mr. Filipovic holds an Honours Bachelor of Commerce degree and is a Chartered Accountant in good standing with the Institute of Chartered Accountants of Alberta and Ontario. Steve is Chief Financial Officer of Mega Precious Metals Inc. (TSX.V: MGP) and Vice President, Finance of Premier Gold Mines Limited (TSX: PG). He was Vice President, Finance with Wolfden Resources Inc. until its acquisition in 2007 and became a Director and Chief Financial Officer of Zinifex Canada Inc. until his departure in 2008. Steve is currently a director and officer of several other listed companies.
Robert Gagne CISM, CISSP – Director
Mr. Gagné serves as the Information Services and Information Security Manager for a publicly traded biotech company. He is a Certified Information Security Manager (CISM) and a Certified Information Systems Security Professional (CISSP). Mr. Gagné is responsible for overseeing and coordinating all technology initiatives for mission-critical manufacturing, clinical, research and administrative functions. His expertise is in strategic planning, IT governance and information security. He has been in the IT industry for over 17 years and owns his own Information Services and Information Security consulting business where he has provided services to companies in the mining, manufacturing, financial and marketing industries.
Peter Brooks – Director
Mr. Brooks is a Winnipeg businessman specializing in the acquisition and restructuring of existing businesses. He is the founder and president of Brooks Tools Ltd. Mr. Brooks is a licensed pilot, an aircraft owner and operator (wheels, floats, day, night, ultra-light vfr-ott) and is also a heavy equipment owner and operator (proficient on most types). More importantly, Mr. Brooks brings with him 15 years of mining industry and mineral exploration experience including: (i) iron mining and lab preparation and analyses, (ii) nickel underground mining, milling, lab preparation and analyses, (iii) coal mining and plant processing, (iv) surface preparation for exploration, (v) mine commissioning and initial startup, (vi) new technology process integration, and (vii) land reclamation.
Dawn Gauthier – Office Manager
Dawn has over fifteen years of experience working in the corporate accounting and office management fields. During the past ten years Dawn has worked in the accounting divisions of two Winnipeg companies. Her responsibilities included a diverse range of financial and managerial accounting functions as well as overseeing a variety of administrative responsibilities. Immediately prior to joining King’s Bay Gold, Dawn was employed as an Assistant Controller where she had the responsibility for planning, organizing and controlling all of the clerical functions within the organization. Dawn is currently working towards a professional accounting designation as a Certified General Accountant.
